On 28 September 2010, the Company announced that it had entered into a
term sheet with FA Systems Automation (S) Pte Ltd (“ FAS”) in respect of a
proposed investment by the Company in the equity interest of FAS(“ Proposed Investment”) for an aggregate consideration of S$4.0 million.The Proposed Investment is subject to, inter alia, satisfactory due diligenceand approval of Shareholders (if required).The Company intends to utilise the Net Proceeds in the following order ofpriority:
(a) the first S$4.0 million of the Net Proceeds to fund the ProposedInvestment; and
(b) the balance for the general working capital of the Company and itssubsidiaries (“ Group”).
